The Board and Management of Keppel Infrastructure Fund Management Pte. Ltd. (KIFM), as the Trustee-Manager of Keppel Infrastructure Trust (KIT), are fully committed to upholding good corporate governance standards in order to uphold the principles of corporate responsibility, and protect long-term value, as well as the interests of its key stakeholders.
The Business Trusts Act, Chapter 31A, of Singapore sets out the requirements and obligations in respect of corporate governance. The Business Trusts Regulations set out the requirements for, amongst other matters, the board composition of a trustee-manager, the independence of its directors, and the audit committee composition of a trustee-manager.
In addition, the Trustee-Manager abides by the Code of Corporate Governance 2018 (the Code), issued by the Monetary Authority of Singapore. The Code provides KIFM with a framework for checks, controls and accountability with which to implement governance best practices. In addition, the Code requires the Board to consider sustainability issues when making key business decisions.
The Keppel Code of Conduct sets out the principles of conduct that guides directors and employees in carrying out their duties and responsibilities to the highest standards of personal and corporate integerity when dealing with competitors, customers, suppliers, and other employees and key stakeholders.
