  • What is Keppel Infrastructure Trust?

    Keppel Infrastructure Trust (KIT) is the largest diversified business trust listed on the Singapore Exchange.

    The Trust aims to invest in a large and well-diversified portfolio of businesses and assets that provides Unitholders with long-term, sustainable distributions and capital growth.

    KIT plays a critical role in supporting Singapore’s circular economy and economic growth, through providing electricity and gas, managing waste, and enhancing water security. Globally, its portfolio of critical infrastructure includes town gas production, gas pipelines, wind farms, waste treatment and water purification, manufacturing and distribution of essential chemicals, as well as the storage of petroleum products, serving a large customer base comprising government agencies, multinational corporations, commercial & industrial enterprises, and retail consumers across the Asia Pacific, Europe, and the Middle East.

    KIT was formed by the combination of the former KIT and CitySpring Infrastructure Trust (CIT), please refer to Milestones page for more information.

    Keppel is the Sponsor of KIT. Keppel Infrastructure Fund Management (KIFM) has been appointed Trustee-Manager of KIT since 18 May 2015.

    KIT’s portfolio comprises businesses and assets in the three segments below:

    1. Energy Transition segment that supports the transition to a low-carbon economy: City Energy, Aramco Gas Pipelines Company, Keppel Merlimau Cogen Plant, European Onshore Wind Platform, and German Offshore Wind Farm;
    2. Environmental Services segment that provides essential services that protect human health and safeguard the environment: Senoko Waste-to-Energy Plant, Keppel Seghers Tuas Waste-to-Energy Plant, Keppel Seghers Ulu Pandan NEWater Plant, SingSpring Desalination Plant, as well as Eco Management Korea); and
    3. Distribution & Storage segment that supports the circular economy, driving economic growth: Ixom, and Philippine Coastal Storage & Pipeline Corporation.

    The Trustee Manager will look to acquire suitable businesses and assets that will enhance the value proposition of the Trust and drive long term value creation for Unitholders, focusing on evergreen, yield accretive assets and businesses that will benefit from secular growth trends: 

    - Traditional asset classes with long-term utility-like contracted cash flows
    - Asset classes that benefit from the low-carbon economy
    - Asset classes that support the digital economy
    - Socio-economic infrastructure that furthers economic growth and enhances social well-being

  • What stake does Keppel Infrastructure hold in Keppel Infrastructure Trust?

    Keppel owns approximately 18.2% of KIT as at end-March 2023.

  1. What is the trustee-manager fee structure?

    KIFM, as Trustee-Manager of KIT, is paid a base fee of 10.0% per annum of the Trust's Distributable Income and a performance fee at a rate equal to 25.0% per annum of the increase in DPU in respect of a financial year as compared with the DPU in respect of the preceding financial year, multiplied by the weighted average number of Units in issue for such financial year.

    The fees on mergers and acquisitions, and disposals are as set out below:

    • 0.5% of the enterprise value (EV) of the investment that KIT acquired from related parties.
    • 1.0% of the EV of the investment that KIT acquired from non-related parties.
    • 0.5% of the EV of any investment sold by KIT.

    The Trustee-Manager may elect to receive the fees in cash or Units or a combination of cash and Units.

  2. Is there a fixed distribution policy?

    KIT does not have a fixed payout policy; the Trustee-Manager seeks to maintain long-term sustainable distributions for Unitholders.

    KIT intends to make half-yearly distributions to Unitholders.
